1. Agreement to Terms

By accessing or using the website learncenter.dev (the “Site”) operated by LearnCenter LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Site.

4. Intellectual Property Rights

4.1 Our Content

The Site and its entire contents, features, and functionality—including but not limited to text, graphics, logos, icons, images, audio clips, code, software, and design—are owned by LearnCenter LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

4.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes. This license does not include:

• Modifying, copying, or distributing any Site content
• Using any content for commercial purposes without written permission
• Attempting to reverse engineer any software on the Site
• Removing any copyright, trademark, or proprietary notices
• Framing or mirroring any portion of the Site
• Using automated systems (bots, scrapers) to access the Site

This license terminates automatically if you violate any of these Terms.

"LearnCenter" and our logo are trademarks of LearnCenter LLC. You may not use these marks without our prior written permission.

• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE

• WARRANTIES THAT DEFECTS WILL BE CORRECTED

9. Limitation of Liability

• Business interruption
• Cost of substitute services
• Personal injury or property damage

ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless LearnCenter LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Site
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable law

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at ryan@learncenter.dev and attempt to resolve any dispute informally for at least 30 days.

11.2 Arbitration Agreement

If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms or the Site shall be settled by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules. The arbitration shall take place in San Francisco County, California, unless the parties agree otherwise.

11.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

11.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

14. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us to be effective.

15. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and LearnCenter LLC regarding the Site and supersede all prior agreements and understandings.

These Terms do not govern any separate consulting services agreement you may enter into with us, which will have its own terms and conditions.

16. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
